1. Introduction

RVR Consulting Group, Inc. ("RVR," "we," "us," or "our") respects your privacy. This Privacy Policy (the "Policy") describes how we collect, use, disclose, retain, and protect personal information when you visit www.rvrteam.com (the "Site"), contact us, apply for a position with us, are considered for an executive search or talent acquisition opportunity, attend an event we host, or otherwise interact with us in connection with our consulting and advisory services, executive search and talent acquisition services, M&A advisory and business-exit services, buy-side and sell-side transaction support, and fractional or interim executive services (collectively, the “Service”).

This Policy applies to information collected through the Site and through related business activities. It does not cover confidential engagement materials you share with RVR under a separate written engagement letter, non-disclosure agreement, or other client agreement; that information is governed by the terms of those agreements, applicable professional obligations, and RVR’s internal confidentiality practices.

PLEASE READ THIS POLICY CAREFULLY. By accessing or using the Service in the United States, you confirm that you are at least 18 years old and that you have read, understood, and agree to this Policy. If you do not agree with this Policy, please do not use the Site or provide personal information to us.

This policy is written in the English language. We do not guarantee the accuracy of any translated versions of this Policy. To the extent that any translated versions of this Policy conflict with the English language version, the English language version of this Policy shall control.

2. Children's Privacy

The Site is intended for business professionals and is not directed to children. IF YOU ARE UNDER THE AGE OF EIGHTEEN YOU ARE NOT AUTHORIZED TO USE THE SERVICES, EVEN IF YOU HAVE OBTAINED PARENTAL CONSENT TO DO SO. We do not permit use of the Service by, and we do not knowingly collect personal information from children under the age of 18, and we do not knowingly sell or share personal information of individuals under the age of 18. If you believe a child has provided us with personal information, please contact us via info@rvrteam.com and we will take appropriate steps to address the issue.You are strictly prohibited from providing any information about anyone under the age of 18. You are responsible for ensuring that information you provide or connect does not include data about individuals under 18, and if we become aware that we have received information about an individual under 18, we will delete it.

3. Information We Collect

Categories of Personal Information Collected. RVR collects, and has within the last twelve (12) months collected, the following categories of personal information: (1) identifiers and contact information including your name, email address, phone number, and mailing address, (2) time spent viewing features, (3) device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, general geolocation, information about how and when you use our Service and other technical information, (4) information disclosed directly to our staff through the content of phone calls and the bodies of emails, including your employer, job title, and the nature of your inquiry, (5) other electronic network activity information, including usage, diagnostic, and crash data, and (6) career and professional information including resumes, CVs, work history, education, professional qualifications, references, compensation expectations, leadership experience, professional networks, and similar information. We do not knowingly or intentionally collect categories not described in this Policy.

Additional collection of sensitive personal information. If you are a job applicant, employee, owner, director, officer, or contractor of RVR (collectively, “Employee”), we may request that you provide us with certain sensitive personal information, namely government-issued identification such as your driver’s license, social security number, state ID card number, or passport number; other unique personal identifiers associated with you or other beneficiaries such as your spouse or child; marital or domestic partner status; your citizenship or immigration status; and classifications protected under state or federal Equal Employment Opportunity laws (such as race or national origin). We only collect this sensitive personal information to the extent that you provide such sensitive personal information to us directly. The sensitive personal information we collect may be required to provide the Service to you. If you do not provide the sensitive personal information that we may ask for, it may delay or prevent us from providing the Service to you.

Unless you are an Employee, or as otherwise stated in a separate agreement, RVR does not knowingly or intentionally collect sensitive personal information such as your social security, driver’s license, state identification card, or passport number; your financial account, debit card, or credit card number in combination with any required security or access code, password, or credentials allowing access to an account; your racial or ethnic origin, religious or philosophical beliefs, or union membership; the contents of your mail, email and text messages, unless we are the intended recipient of the communication; your genetic data; your biometric information for the purpose of uniquely identifying you; medical records; and personal information collected and analyzed concerning your sex life or sexual orientation. We ask that you not send nor disclose this sensitive personal information to us.

We do not “sell” or “share” (as these terms are defined in the California Consumer Privacy Act) your sensitive personal information.

3.1 Information You Provide Directly

Contact information such as name, business or personal email address, telephone number, mailing address, employer, job title, and the nature of your inquiry, submitted through our Contact page or by email, phone, or postal mail.
Career, recruiting, and candidate information such as résumé or CV, work history, education, professional qualifications, references, compensation expectations, leadership experience, and any other information you choose to submit if you apply for a position with RVR or are considered for one of our executive search, talent acquisition, fractional executive, interim executive, or professional search engagements.
Information you share at events, webinars, networking meetings, or in introductory conversations about a potential engagement, including business and professional details relevant to whether we may be able to help you.
Correspondence and other content you send to us, including emails, voicemail, and meeting notes.

3.2 Information Collected Automatically

When you visit the Site, certain information is collected automatically through cookies, server logs, and similar technologies. This may include:

Internet Protocol (IP) address and approximate location derived from it;
Browser type and version, operating system, device type, and screen resolution;
Pages you visit on the Site, the date and time of your visits, the referring website, and clickstream data;
Information about how you interact with the Site, including search terms you use on the Site, downloads, and any forms you complete or abandon.

3.3 Information From Third Parties

We may receive information about you from third parties, including:

Professional networks (for example, LinkedIn) where you have made information publicly available or where you have connected with RVR;
Clients and prospective clients who refer you to us or provide your contact information in connection with a potential engagement;
References, prior employers, and background-check providers, where relevant to a recruiting or executive search process and consistent with applicable law;
Publicly available sources, such as company websites, public business filings, professional profiles, news sources, and market or industry sources, used in the course of business development, consulting, executive search, talent acquisition, M&A research, buyer or seller identification, and related advisory work.

We do not knowingly seek or collect sensitive categories of personal information (for example, government-issued identification numbers such as Social Security numbers, financial account numbers, precise health information, or precise geolocation) through the Site. Please do not provide sensitive personal information through general Site forms or email unless RVR specifically requests it and appropriate engagement-level protections are in place.

4. Purpose for Collection of Your Information

RVR only collects and processes the minimum amount of personal information from you that is necessary for the purposes of providing the Service and executing the following purposes:

To respond to your inquiries and provide the information, materials, or introductions you request;
To evaluate whether RVR is positioned to assist with your business goals, and to discuss potential engagements;
To provide and administer our consulting and advisory services, executive search and talent acquisition services, Merger & Acquisition advisory and business-exit services, buy-side and sell-side transaction support, and fractional or interim executive services;
To evaluate candidates, including those who apply directly through the Site and those identified, referred, or considered for client search, talent acquisition, fractional executive, interim executive, or professional opportunity engagements;
To send communications that you have requested or that we believe will be of interest in a business context — such as RVR insights, market commentary, event invitations, and firm updates — consistent with applicable law and subject to your communication preferences;
To operate, secure, improve, and personalize the Site, and to analyze how the Site is used;
To enforce our Terms of Use, protect RVR and the rights of others, and detect and prevent fraud, security incidents, and other unlawful activity;
To comply with our legal, regulatory, accounting, and recordkeeping obligations, and to establish, exercise, or defend legal claims; and
For any other purpose disclosed at the time of collection or with your consent.

Where required by applicable law, we process personal information on one or more of the following legal bases:

Performance of a contract, or steps requested by you before entering into a contract;
Our legitimate interests in operating and developing our business — including responding to inquiries, evaluating candidates, marketing our services to businesses and professionals, and securing the Site — balanced against your interests and rights;
Compliance with a legal obligation; and
Your consent, where consent is required or obtained (for example, for certain marketing communications or non-essential cookies). You may withdraw consent at any time without affecting the lawfulness of processing carried out before withdrawal.

We will not use your Personal Information for a materially new purpose not described in this Policy without first providing notice and, where required, obtaining your consent.

5. How We Share Information

We do not trade, rent, or sell your Personal Information to third parties, and we do not share your personal information for cross-context behavioral advertising or targeted advertising, and in the preceding twelve (12) months, we have not sold any personal information or shared personal information for cross-context behavioral advertising.

We may share or disclose, and have within the preceding twelve (12) months shared or disclosed, your personal information to third parties only for the following purposes:

Service providers and professional advisors — including hosting providers, website and email vendors, CRM platforms, analytics providers including Google Analytics, applicant-tracking and recruiting platforms where applicable, background-check providers where applicable, accountants, consultants, insurers, and outside counsel — who process information on our behalf under appropriate confidentiality and security obligations.
Clients and prospective clients, where relevant to a consulting, executive search, talent acquisition, fractional executive, interim executive, M&A, business-exit, buy-side, sell-side, or advisory engagement. For example, if you are a candidate identified in an executive or professional search, we may share appropriate candidate information with the client conducting the search, consistent with industry practice, the applicable engagement, and applicable law.
Other engagement participants, such as buyers, sellers, lenders, investors, owners, executives, employees, candidates, references, integration participants, and their respective advisors, where necessary or appropriate to advance an M&A, search, talent acquisition, fractional executive, consulting, or advisory engagement and subject to appropriate confidentiality arrangements where applicable.

We may share or disclose, but have not shared or disclosed in the last twelve (12) months, your personal information to third parties for the following purposes:

Affiliates and successors in interest in the event of a merger, acquisition, financing, reorganization, sale of assets, or similar corporate transaction involving RVR — in which case any transfer of personal information will be subject to this Policy or a substantially similar policy.
Government authorities, regulators, courts, and law-enforcement agencies, where we believe in good faith that disclosure is necessary to comply with a legal obligation, respond to lawful process, protect the rights, property, or safety of RVR, our clients, or others, or otherwise as required by applicable law.
Other parties with your consent or at your direction.

We may also use or disclose aggregated, anonymized, or de-identified information that cannot reasonably be used to identify you. Where we maintain de-identified information, we will maintain and use it in de-identified form and will not attempt to re-identify it except as permitted by applicable law.

The categories of personal information shared with third parties, service providers, and contractors may include: (1) identifiers and contact information including your name, email address, phone number, and mailing address, (2) time spent viewing features, (3) device and usage information, such as your IP address, browser and device characteristics, operating system, language preferences, referring URLs, device name, country, general geolocation, information about how and when you use our Service and other technical information, (4) information disclosed directly to our staff through the content of phone calls and the bodies of emails, including your employer, job title, and the nature of your inquiry, (5) other electronic network activity information, including usage, diagnostic, and crash data, and (6) career and professional information including resumes, CVs, work history, education, professional qualifications, references, compensation expectations, leadership experience, professional networks, and similar information.

6. Marketing Communications and Your Choices

If you have given us your contact information, requested communications, or done business with us, we may send you communications about our firm, our services, market commentary, and events that we believe may be relevant in a business context, consistent with applicable law.

You can opt out of marketing communications at any time by:

Following the "unsubscribe" instructions in any marketing email we send;
Replying to a marketing email and asking us to remove you; or
Contacting us using the information in Section 15.

Even if you opt out of marketing communications, we may still send you transactional or relationship messages — for example, responses to your inquiries, communications regarding an active engagement, or important notices about the Site or this Policy.

7. Cookies and Similar Technologies

The Site uses cookies and similar technologies (such as pixels, tags, and web beacons) to operate the Site, remember your preferences, understand how the Site is used, and — where applicable and permitted — support marketing activities. The categories we may use include:

Strictly necessary cookies that are required for the Site to function, including for security and load balancing. These cannot be switched off.
Analytics cookies (for example, from Google Analytics) that help us understand how visitors use the Site so we can improve it. These collect information such as the pages you visit, time spent on the Site, and how you arrived at the Site, generally on an aggregated basis.
Functional cookies that remember your preferences and choices.
Marketing or advertising cookies, where used, that help measure the effectiveness of communications and outreach.

We do not use cookies, software development kits, or trackers to sell personal information or to share it for cross-context behavioral or targeted advertising. We also do not engage in tracking across other businesses' websites or applications.

You can control cookies through your browser settings (for example, by blocking or deleting cookies) and through any cookie banner or preference center we may make available on the Site. Where required by applicable law, we will request your consent before using non-essential cookies and will honor applicable opt-out choices. Where a cookie banner is made available, you can change or withdraw your choices at any time by reopening the cookie preferences, and your updated choices take effect immediately. Disabling certain cookies may affect your experience of the Site.

If we use Google Analytics, you may be able to install Google's browser opt-out at https://tools.google.com/dlpage/gaoptout. The availability and effectiveness of that opt-out tool is controlled by Google, not RVR.

Some browsers or devices may allow you to send an opt-out preference signal, such as Global Privacy Control (GPC). Where required by applicable law, we will treat such signals as a request to opt out for the browser or device that sends the signal. Even without using an opt-out signal, users may opt out by contacting us at info@rvrteam.com.

8. Data Retention

We retain personal information for as long as is reasonably necessary and proportionate for the purposes described in this Policy or as otherwise permitted by law, including the need to:

Provide and improve our services and respond to your inquiries;
Maintain appropriate business and accounting records;
Comply with our legal, regulatory, and contractual obligations; and
Establish, exercise, or defend legal claims.

When personal information is no longer needed, we will delete, destroy, de-identify, or anonymize it in accordance with our retention practices, subject to legal hold, backup retention, or other legal, regulatory, contractual, or operational obligations.

9. Information Security

RVR maintains administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, disclosure, and loss. We also require service providers that process personal information on our behalf to maintain appropriate safeguards. No method of transmission over the Internet or storage system is, however, 100% secure, and we cannot guarantee absolute security. By using the Service, you agree to assume any security risk related to personal information. You are responsible for keeping any credentials we may provide to you confidential and for promptly notifying us of any suspected unauthorized use.

If you believe you have identified a security vulnerability in the Service, please report it to us at info@rvrteam.com. We appreciate responsible disclosure and will review reports promptly. Please do not access, modify, or delete data belonging to others or disrupt the Service when investigating or reporting a potential vulnerability.

We expressly disclaim any liability from misuse of any and all accounts or credentials, and in no event will we be held liable to you for any liabilities or damage resulting from or arising out of (i) any action or inaction taken under this provision; (ii) any compromise of the confidentiality of your account or other identification or credentials; or (iii) any unauthorized access of use of your account or credentials. You agree to defend, indemnify, and hold us and our affiliates harmless from and against all third-party claims, damages, and expenses (including reasonable attorney’s fees) against or incurred arising out of use or access to the Service by anyone accessing the Services using your account or other identification or credentials.

10. Consent to Processing and International Data Transfer

RVR is based in the United States, and any information we collect may be processed and stored in the United States and other jurisdictions where RVR or its service providers operate. You understand that your information may be transferred to, processed, and stored in jurisdictions where data-protection laws may differ from those in your country of residence. Where required by applicable law, RVR will use lawful mechanisms designed to protect personal information transferred across borders. By using the Service, or by providing us with any information, you consent to the collection, processing, maintenance, and transfer of such information in and to the United States and other applicable territories in which the privacy laws may not be as comprehensive as, or equivalent to, those in the country where you reside or are a citizen.

11. Automated Decision-Making

We do not make decisions based solely on automated processing (including profiling) that produce legal or similarly significant effects concerning you.

12. Third-Party Services and Links

The Service may offer integrations with, or links to, third-party services. When you click on a link to a linked site, you will leave the Service and go to that linked site, and another entity may collect personal information or anonymous data from you. We have no control over, do not review, and cannot be responsible for, these linked sites or their content. Similarly, we have no control over, do not review, and cannot be responsible for any third party integrations you choose to establish. Please be aware that the terms of this Policy do not apply to linked sites, third-party integrations, their content, or to any collection of your personal information by third parties through the linked sites or integrations. RVR is not responsible for the privacy practices or the content of such linked sites or integrations. Please be aware of where you are at all times. RVR expressly disclaims any liability that may arise from your use or provision of any of your information whatsoever to linked sites or integrations. You understand and agree that by clicking on a link to a linked site that you have left the Service.

13. Changes to This Policy

RVR may update this Policy from time to time. The most current version will be posted on the Site, with the "Last Updated" date reflecting when it took effect. If we make material changes, we may provide additional notice, such as by posting a prominent notice on the Site or sending an email to addresses we have on file where appropriate. Your continued use of the Site after revisions become effective constitutes your acceptance of the revised Policy to the extent permitted by applicable law.

We encourage you to frequently review the Services for the latest information on our privacy practices. Use of information we collect now is subject to the version of the Policy in effect at the time such information is used. You are bound by any changes to this Policy when you use the Service after such changes have been first posted. If you do not accept the terms of this Policy, we ask that you do not register with us and that you do not use our Service. Please exit the Service immediately if you do not agree to the terms of this Policy.

14. Your Privacy Rights

14.1 Rights Available to All Visitors

Regardless of where you live, you may contact RVR at any time to:

Ask what personal information we hold about you;
Ask us to correct information that is inaccurate or incomplete;
Ask us to delete personal information we hold about you, subject to legal or business reasons we may need to retain it;
Opt out of marketing communications; and
Ask us a question or raise a concern about our privacy practices.

To exercise any of these rights, please contact us using the information in Section 15. We will respond within a reasonable time and in accordance with applicable law. We may need to verify your identity before acting on certain requests.

If we receive or process personal information on behalf of a client, prospective client, transaction participant, or other third party, we may refer your request to that party or coordinate with that party to respond, consistent with applicable law, the relevant engagement terms, and any confidentiality obligations.

Depending on your state of residence, you may have rights under other state laws. The following notices inform you of rights you may exercise as a resident of the states specified below.

14.2 Special Notice for California Residents

If you would like to exercise your rights as a resident of California, you can contact us at info@rvrteam.com. If you choose to contact us for this purpose, you must provide us with enough information to identify you (e.g., your first and last name, email address, and telephone number) and enough specificity on the requested data. We will only use the information we receive to respond to your request. We will not be able to disclose information if we cannot verify that the person making the request is the person about whom we collected information, or someone authorized to act on such person’s behalf. We will verify your request by comparing the information you provide with the information we have on you and, if your request is submitted by an authorized agent, we will require you to provide signed, written permission for such agent to act on your behalf.

“Personal information” means information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular consumer or household. “Personal information” does not include publicly available information.

● Request to Correct. You may correct or update your personal information at any time by logging into your account or by contacting us.

● Request to Access. You may submit a request to obtain a copy of or access to the personal information that we have collected on you.

● Request to Know. You may submit a request to receive information about our data collection practices.

o Right to Know what Personal Information is being Collected. You may request information on the categories of personal information we have collected about you; the categories of sources from which the personal information is collected; our business or commercial purpose for collecting, selling, or sharing personal information; the categories of third parties to whom we have disclosed personal information, if any; and the specific pieces of personal information it has collected about you.

o Right to Know what Personal Information is Sold or Shared and to Whom. You may also request the categories of personal information that we have collected about you; the categories of personal information that we have sold or shared about you and the categories of third parties to whom the personal information was sold or shared, by category or categories of personal information for each category of third parties to whom the personal information was sold or shared, and the categories of personal information that we have disclosed about you for a business purpose and the categories of persons to whom it was disclosed for a business purpose.

Please note that the categories of personal information, sources, and disclosure will not exceed what is contained in this Policy. Additionally, we are not required to retain any information about you if it is only used for a one-time transaction and would not be maintained in the ordinary course of business. We are also not required to re-identify personal information if it is not stored in that manner already, nor is it required to provide the personal information to you more than twice in a twelve-month period.

● Request to Limit the Use of Your Sensitive Personal Information. We do not collect, use, or disclose sensitive personal information, unless you are an Employee, in which case we collect, use, and disclose certain sensitive personal information only for employment-related purposes reasonably expected by Employees. However, if you believe that we may have collected sensitive personal information about you, you may withdraw your consent to any use or disclosure of your sensitive personal information.

● Request to Delete. You may request that we delete personal information we have collected from you. Subject to certain exceptions set out below we will, on receipt of a verifiable request, delete your personal information from our records, direct any service providers to do the same, and notify all third parties with whom we have shared your personal information to delete it unless this proves impossible or involves disproportionate effort. Please note that we may not delete your personal information if it is necessary to:

o Complete the transaction for which the personal information was collected, fulfill the terms of a written warranty or product recall conducted in accordance with federal law, provide a good or service requested by the consumer, or reasonably anticipated by the consumer within the context of a business’ ongoing business relationship with the consumer, or otherwise perform a contract between the business and the consumer.

o Help to ensure security and integrity to the extent the use of the consumer’s personal information is reasonably necessary and proportionate for those purposes.

o Debug to identify and repair errors that impair existing intended functionality, to exercise free speech, ensure the right of another consumer to exercise that consumer’s right of free speech, or exercise another right provided for by law to comply with the California Electronic Communications Privacy Act pursuant to Chapter 3.6 (commencing with Section 1546) of Title 12 of Part 2 of the Penal Code.

o Engage in public or peer-reviewed scientific, historical, or statistical research that conforms or adheres to all other applicable ethics and privacy laws, when the business’ deletion of the information is likely to render impossible or seriously impair the ability to complete such research, if the consumer has provided informed consent.

o To enable solely internal uses that are reasonably aligned with the expectations of the consumer based on the consumer’s relationship with the business and compatible with the context in which the consumer provided the information. o Comply with a legal obligation.

● Right to Access Information About Automatic Decision-Making. We do not currently engage in automated individual decision-making. However, in the event we ever do so, we will inform you of such change and you may request information about and opt out of such automated decision-making.

● Right to Data Portability. You may also request that we transfer your personal information to another entity, to the extent such transfer is technically feasible.

We may not, and will not, treat you differently because of your request to exercise your rights. As a result of your request, we may not and will not deny goods or services to you; charge different rates for goods or services; provide a different level of quality of goods or services; or suggest any of the preceding will occur. However, we can and may charge you a different rate, or provide a different level of quality, if the difference is reasonably related to the value provided by your personal information.

14.3 Special Notice for Residents of Colorado, Connecticut, Delaware, Maryland, Minnesota, Nebraska, New Hampshire, New Jersey, Rhode Island, and Utah

Personal information or “personal data” means “information that is linked or reasonably linkable to an identified or identifiable individual.” “Personal data” does not include de-identified or publicly available information.

● Request to Access. You may submit a request to confirm or to obtain a copy of or access to the personal data that we have collected on you including what the data is, how it’s been used, and who it’s been disclosed to. Your personal data may no longer be available because it has been destroyed, erased, or made anonymous in accordance with our data retention policies in which case we will provide you with the reasons why the personal data no longer exists where possible.

● Request to Correct. You may correct or update your personal data at any time by logging into your account or by contacting us.

● Request to Delete. You may request that we delete the personal data we have collected on you. We will delete your personal data from our records and direct any service providers to do the same unless retention is required by law.

● Request to Opt-Out. You may submit a request to opt out of the sale of your personal data as well as its processing for targeted advertising or consumer profiling. We do not sell, rent, or lease your personal data to third parties and do not process your personal data for targeted advertising or consumer profiling.

● Right to Data Portability. You may also request that we transfer your personal information to you or another entity, to the extent such transfer is technically feasible.

● Appeal. If we notify you that no action is to be taken in response to your request to access, correct, delete, or opt-out, you may appeal this decision by contacting us within 30 days with the reason why you believe further action should be taken. If you are not satisfied with the result of the appeal, you may contact the Attorney General of your state, as described below.

● Withdraw Consent for Your Sensitive Personal Information. We do not collect, use, or disclose sensitive personal information, unless you are an Employee, in which case we collect, use, and disclose certain sensitive personal information only for employment-related purposes reasonably expected by Employees. However, if you believe that we may have collected sensitive personal information about you, you may withdraw your consent to any use or disclosure of your sensitive personal information.

If you’d like to make any of the above requests, you can contact us at info@rvrteam.com. If you choose to submit a request, you must provide us with enough information to identify you (e.g., your first and last name, email address, and telephone number) and enough specificity on the requested data. We will only use the information we receive to respond to your request. We will not be able to disclose information or comply with your request if we cannot verify that the person making the request is the person about whom we collected information, or someone authorized to act on such person’s behalf. We will verify your request by comparing the information you provide with the information we have on you and, if your request is submitted by an authorized agent, we will require you to provide signed, written permission for such agent to act on your behalf.

We may not, and will not, treat you differently because of your request to exercise your rights. As a result of your request, we may not and will not deny goods or services to you; charge different rates for goods or services; provide a different level of quality of goods or services; or suggest any of the preceding will occur. However, we can and may offer a different price, rate, level, quality, or selection of goods or services to you.
